Seg\u00fan lo previsto por la Ley de Sociedades Comerciales de Ruman\u00eda: \u201c<em>Los bienes restantes del patrimonio de una persona jur\u00eddica tras su cierre registral \u2026 pertenecen<\/em> <em>a los socios\/accionistas<\/em> \u201c. Sin embargo, conforme a la pr\u00e1ctica jur\u00eddica del pa\u00eds no se puede afirmar que los efectos de este mandato legal operan \u201copis legis\u201d, sin la necesidad de intervenci\u00f3n de los tribunales.<\/p>\n\n\n\n<p class=\"just\">De forma contraria a c\u00f3mo ocurre en los supuestos en los que los socios se implican activamente en la disoluci\u00f3n de la sociedad, e identifican correctamente todos sus bienes, con la consecuencia de poder solicitar del Registro Mercantil certificaci\u00f3n de su titularidad \u2013 <em>a los efectos de la inscripci\u00f3n en el Registro de la Propiedad de su derecho de propiedad, conforme a su participaci\u00f3n en el capital social<\/em>-, una vez efectuado el cierre registral, la transmisi\u00f3n del derecho propiedad requerir\u00e1 la intervenci\u00f3n de los tribunales.<\/p>\n\n\n\n<p class=\"just\">Llegados a este punto, tenemos que considerar el contenido de las disposiciones del C\u00f3digo Civil rumano, por las que la transmisi\u00f3n de la titularidad de los bienes inmuebles sucede \u00fanicamente en base a escritura p\u00fablica, sentencia judicial firme, certificado de heredero u otros actos administrativos, siempre que la ley as\u00ed lo establezca.<\/p>\n\n\n\n<p class=\"just\">Si bien se puede especular con la idoneidad de la sentencia judicial por la que se ha resuelto la liquidaci\u00f3n de la sociedad, a los efectos de considerarla como t\u00edtulo v\u00e1lido para la transmisi\u00f3n de la titularidad de los bienes, la pr\u00e1ctica jur\u00eddica, tanto a nivel de Registro de la Propiedad, como de las instancias judiciales competentes, obliga a los interesados a seguir un procedimiento judicial, que tenga en cuenta los eventuales intereses de terceros.<\/p>\n\n\n\n<p class=\"just\">Estando, por lo tanto, obligados los interesados a seguir la v\u00eda judicial, se plantea la necesidad de identificar cu\u00e1l es el procedimiento legal adecuado.
